These Terms of Service ("Terms") govern your access to and use of the website located at argentpayments.com (the "Site"), operated by Argent Payments LLC ("Argent," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Site.
These Terms apply to your use of the Site itself. If you become a merchant client of Argent for payment processing services, that relationship is governed by a separate Merchant Processing Agreement, which you will review and sign as part of onboarding, and which controls over these Terms with respect to any conflict regarding processing services.
Argent provides information about, and facilitates introductions to, payment processing services, including credit card processing, ACH/electronic check processing, virtual terminals, point-of-sale integration, fraud prevention tools, gift card programs, and related merchant services (collectively, the "Services"). Argent works with underlying acquiring banks, card networks, and payment processing partners to deliver the Services; nothing on this Site should be construed as Argent acting as a bank or holding a banking charter.
Information on this Site, including pricing examples, industry guides, and blog content, is provided for general informational purposes only and does not constitute a binding offer, financial advice, or legal advice. Actual pricing, terms, and eligibility for the Services are determined through individual underwriting and a separate written agreement.
The Site and Services are intended for use by business entities and individuals acting in a business capacity who are at least 18 years old and legally authorized to represent and bind the business on whose behalf they are acting. By using the Site, you represent that you meet these requirements.
You agree not to: (a) use the Site for any unlawful purpose or in violation of any applicable local, state, national, or international law; (b) attempt to gain unauthorized access to any portion of the Site, other accounts, or computer systems connected to the Site; (c) interfere with or disrupt the operation of the Site or servers/networks connected to the Site; (d) use any automated system, including "robots" or "spiders," to access the Site in a manner that sends more request messages than a human could reasonably produce; (e) reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site without express written permission from Argent; or (f) submit false, misleading, or fraudulent information through any form on the Site, including the contact and rate-review forms.
When you submit information through a form on this Site (such as a rate review request or the Contact Us form), you consent to Argent contacting you at the phone number, email address, or other contact information you provide, including by phone, text message, and email, for purposes related to your inquiry. Message and data rates may apply to SMS communications. You may opt out of marketing communications at any time using the unsubscribe or opt-out method provided in that communication; opting out of marketing does not affect communications necessary to service an active merchant account.
The Site and its entire contents, features, and functionality (including all text, graphics, logos, images, and software) are owned by Argent, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, and other intellectual property laws. You may view and print pages from the Site for your own personal, non-commercial use, provided you do not modify or remove any copyright, trademark, or other proprietary notices.
The Site may contain links to third-party websites or services that are not owned or controlled by Argent, including payment network sites, POS integration partners, and social media platforms. Argent has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Argent is not responsible or liable for any damage or loss caused by your use of any such third-party content, goods, or services.
THE SITE AND ALL INFORMATION, CONTENT, AND MATERIALS ON THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. ARGENT DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT PRICING EXAMPLES OR SAVINGS ESTIMATES SHOWN ON THE SITE WILL BE ACHIEVED FOR ANY PARTICULAR BUSINESS.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ARGENT, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF ARGENT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ARGENT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS AND YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). This section does not apply to, and does not limit, liability arising under a separately executed Merchant Processing Agreement, which is governed by its own terms.
You agree to defend, indemnify, and hold harmless Argent and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your violation of any rights of a third party.
These Terms and any dispute arising out of or related to them or the Site will be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or related to these Terms will be brought exclusively in the state or federal courts located in Fulton County, Georgia, and you consent to the personal jurisdiction of those courts.
Argent may suspend or terminate your access to the Site at any time, without notice, for conduct that Argent believes violates these Terms or is otherwise harmful to other users of the Site, Argent, or third parties, or for any other reason in Argent's sole discretion.
Argent may revise these Terms from time to time. The most current version will always be posted on this page, with the "Last updated" date reflected above. By continuing to access or use the Site after revisions become effective, you agree to be bound by the revised Terms.
If any provision of these Terms is held to be unlawful, void, or unenforceable, that provision will be deemed severable and will not affect the validity and enforceability of the remaining provisions.
